Please read these Terms of Use (“Terms”) carefully before downloading, installing, or using the JumpStart mobile application (“App”) operated by JumpStart Test Prep LLC (“JumpStart,” “we,” “us,” or “our”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

Because our App is designed for students between the ages of 10 and 16, special rules apply to accounts and parental consent. Please review Section 3 carefully.

1. Acceptance of Terms

By creating an account, downloading the App, or otherwise using any part of the JumpStart platform, you (and, if applicable, your parent or legal guardian) agree to these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and JumpStart Test Prep LLC.

2. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the “Last Updated” date above and, where required by law, provide notice through the App or via email. Continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

3. Eligibility and Parental Consent

3.1 Age Requirements

The App is intended for students ages 10 to 16. Users under the age of 13 (“Children”) must have verifiable parental or guardian consent before creating an account, in accordance with the Children’s Online Privacy Protection Act (COPPA) and applicable law.

3.2 Parental or Guardian Responsibility

If you are a parent or legal guardian permitting a Child to use the App, you agree to:

• Supervise your Child’s use of the App;

• Assume full responsibility for ensuring your Child’s compliance with these Terms; and

• Consent to our collection and use of your Child’s information as described in our Privacy Policy.

3.3 Student Accounts

Users ages 13 to 17 may create accounts with parental consent. Users 18 and older may create accounts independently. We reserve the right to request proof of age or parental consent at any time.

4. Account Registration

To access certain features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;

• Maintain the security of your password and account credentials;

• Notify us immediately of any unauthorized access or breach of security; and

• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

5. License to Use the App

Subject to these Terms, JumpStart grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal, non-commercial educational purposes. This license does not include the right to:

• Sublicense, sell, resell, or commercially exploit the App or its content;

• Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the App;

• Create derivative works based on the App or its content; or

• Remove or alter any proprietary notices, labels, or marks on the App.

6. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law or regulation;

• Impersonate any person or entity or misrepresent your affiliation;

• Attempt to gain unauthorized access to any part of the App or its infrastructure;

• Upload or transmit viruses, malware, or any harmful code;

• Harass, bully, or harm other users;

• Use automated scripts, bots, or scrapers to access or collect data from the App; or

• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the App.

7. Educational Content and Gamification

The App provides gamified educational content—including daily challenges, XP points, streaks, badges, and college discovery features—designed to help students build academic skills. This content is for educational and informational purposes only. JumpStart does not guarantee specific academic outcomes, test score improvements, or college admissions results.

Content within the App is designed by educational professionals, but it does not substitute for instruction from licensed educators or formal academic programs.

8. In-App Features and Virtual Rewards

The App may include virtual rewards such as XP points, badges, streaks, and avatar customizations (“Virtual Items”). Virtual Items have no monetary value, are non-transferable, and cannot be exchanged for real money or goods. JumpStart reserves the right to modify, suspend, or discontinue Virtual Items at any time without notice or liability.

9. Institutional Use

The App may be used by schools, school districts, colleges, universities, and parent-teacher associations (“Institutions”) pursuant to a separate agreement with JumpStart. If you are accessing the App through an Institution, your Institution’s agreement with JumpStart may impose additional terms and conditions.

10. Intellectual Property

All content, features, and functionality of the App—including but not limited to text, graphics, logos, mascots, avatars, software, and educational materials—are the exclusive property of JumpStart Test Prep LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, display, or create derivative works from any content on the App without our prior written permission.

11. Third-Party Services and Links

The App may contain links to third-party websites or services, including college and university profiles. These links are provided for informational purposes only. JumpStart does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services are governed by their respective terms and privacy policies.

12. Privacy and Data Collection

Our collection and use of personal information is governed by our Privacy Policy, available at satjumpstar.com. We comply with applicable federal and state privacy laws, including COPPA. By using the App, you consent to our data practices as described in the Privacy Policy.

Parents and guardians of Children under 13 have the right to review, correct, or request deletion of their Child’s personal information by contacting us at the address below.

13. Disclaimers

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JUMPSTART DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JUMPSTART TEST PREP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JUMPSTART’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JUMPSTART IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

15. Indemnification

You agree to indemnify, defend, and hold harmless JumpStart Test Prep LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another party.

16. Termination

JumpStart reserves the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your license to use the App immediately ceases. Sections 10, 13, 14, 15, and 17 of these Terms survive termination.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in such courts.

For users who are consumers, nothing in this section limits your rights under applicable consumer protection laws.

18. App Store Terms

If you download the App from a third-party app store (such as Apple App Store or Google Play), you acknowledge that: (a) these Terms are between you and JumpStart only, not the app store provider; (b) the app store provider has no obligation to provide support or maintenance; and (c) the app store provider is a third-party beneficiary of these Terms.

19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and JumpStart regarding the App and supersede all prior agreements.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. JumpStart may freely assign these Terms.
